Ayden Ergun

Ayden Ergun is a Partner in the firm’s Corporate and Transactional practice and has experience representing both new and established companies with capital raises, reorganizations, divestitures, acquisitions, mergers, joint ventures, and complex multi-faceted commercial transactions. Mr. Ergun counsels corporate clients on general business matters, including corporate governance, service agreements, and financing arrangements.

He is a member of a specialized practice group that focuses on counseling wealth management and financial services industry clients on complex reorganizations and M&A transactions. He has experience structuring complex M&A transactions, conducting due diligence, and negotiating sales and purchase arrangements.

Representative Experience

• Served as counsel on a team that represented a financial advisory/wealth management firm (RIA) in a corporate reorganization and subsequent sale of equity for $54MM.
• Served as counsel on a team that represented a financial advisory/wealth management firm in a sale of equity to an independent financial services firm for $160MM.
• Served as counsel on a team that represented an Ohio insurance company in the sale of its insurance practice.
• Served as counsel to a multi-state medicinal cannabis cultivator, processor, and distributor in a multi-state corporate reorganization which included equity contributions and issuances with over 100 participants.
• Served on a team as sell-side counsel in the representation of two wealth advisors in the financial and sports management industries in a sale of goodwill and partnership with a national wealth advisory firm for approximately $18,000,000
• Represented a Florida based authorized cell phone dealer in the purchase of assets related to the operations of an authorized dealer selling cellular telephones, cellular telephone accessories, and prepaid wireless plans for $1,528,500
• Served as counsel on a team that represented a northeastern Ohio based manufacturer of thin-film coatings, with a broad customer base in the polymer and glass optical markets, in its acquisition of a Texas based coatings company for $3,400,000
• Represented a marketing and digital services firm in its investment in a provider of YouTube Ads for Coaches & Course Creators for $1,100,000
