The Cleveland-based team is led by Motheral, a national leader in the financial advisory services/wealth management industry. The team provides corporate and transactional legal services, including mergers and acquisitions, private and debt equity financing, corporate restructurings and cross-border acquisitions.

T. Ted Motheral focuses on mergers and acquisitions, as well as private debt and equity financing. Mr. Motheral has substantial experience in leading transactions for multi-million-dollar acquisitions and has represented borrowers and lenders in multi-million-dollar debt offerings. He is also experienced in advising clients on general corporate matters, entity formation and governance, joint ventures, divestments, and reporting requirements and regulations.
Mr. Motheral is considered a national leader in the financial advisory services/wealth management industry. He represents over 100 financial advisory services firms in all 50 states, advising them on all corporate and legal matters, including buy and sell side mergers and acquisitions, corporate restructuring, strategic and growth initiatives, and regulatory, securities, and compliance matters. Mr. Motheral represents firms ranging from $100 million to $60 billion in assets under management in this industry. He also has extensive experience in representing private and family-owned businesses across the country.
Gregory Watkins represents clients with their business transactions and day-to-day business operations. His practice focuses on mergers and acquisitions, debt and equity issuances, corporate restructurings, raising capital and corporate governance.
Mr. Watkins counsels clients on navigating the business life cycle and the ongoing requirements of business management, particularly with entity selection and structure, formation, organization, contract negotiation, operational and employment issues, commercial leasing, financing and exit strategies. Recently, Mr. Watkins Served as sell-side counsel in the sale of a financial advisory services business for approximately $160 million and represented a client in an ESOP transaction, including the redemption and sale of company stock, for $50.25 million.
Ayden Ergun has experience representing both new and established companies negotiate and complete capital raises, reorganizations, divestitures, acquisitions, mergers, joint ventures, and complex multi-faceted commercial transactions. Mr. Ergun counsels corporate clients on general business matters, including corporate governance, service agreements, and financing arrangements.
He is a member of a specialized practice group that focuses on counseling wealth management and financial services industry clients on complex reorganizations and M&A transactions. He has experience structuring complex M&A transactions, conducting due diligence, and negotiating sales and purchase arrangements.
Bryan Fisher advises clients on a wide variety of corporate matters, including mergers and acquisitions, corporate governance, and business formation and development. He has assisted businesses in the structuring of transactions, which encompasses drafting purchase agreements and other transactional documents, reviewing contracts and other matters in relation to the due diligence process.
Mr. Fisher is a member of a specialized practice group, focusing on complex reorganizations and M&A transactions in the wealth management and financial services industry, and has experience assisting clients in transactions across a diverse collection of industries.
