We are seeking a Corporate Lawyer to join our team on a flexible, fully remote basis. We are considering candidates on both a part-time and full-time basis.

Responsibilities

  • Provide strategic business, risk management, and legal advice to cultivate trusted relationships with client senior executive leadership, stakeholders, and other key partners.
  • Identify operational legal issues and issue spot across multiple subject matter areas and efficiently coordinate between legal subject matter experts and client stakeholders.
  • Draft, review, and negotiate a wide range of US and global commercial contracts, including sales, SaaS, licensing, consulting, vendor, marketing, and reseller agreements and terms of service/use for B2B and B2C transactions.
  • Develop and maintain template agreements, playbooks, and negotiating protocols in collaboration with client stakeholders for efficient and consistent contract review, revision and management.
  • Contribute to the development and implementation of best practices for commercial contract lifecycle management, ensuring efficient review, negotiation, and approval processes.
  • Provide strategic guidance on intellectual property licensing, commercialization, protection, and enforcement in the context of global commercial contracting, including with respect to sales agreements, terms of service/use and SaaS.
  • Navigate US and global privacy and data protection regulations, including drafting and negotiating Data Processing Agreements.
  • Collaborate with US and global data privacy counsel to determine and implement risk mitigation, employee training and data management.
  • Manage numerous projects autonomously and under time-sensitive situations with an ability to make sound judgment calls and drive client implementation and change management.

Qualifications

  • J.D. from top tier law school.
  • 15 years legal experience, with no less than 5 years at an AmLaw200 firm and 5 years in house at a technology or intellectual property focused company.
  • Proven ability to work closely with sales teams in fast-paced, deadline-driven environments, including balancing risk legal risks to help drive growth.
  • Strong business acumen with the ability to proactively collaborate with client senior executives to drive decision-making, including distilling legal issues to digestible information for non-legal executives.
  • Exceptional communication and drafting skills, with attention to detail.
  • Highly collaborative and able to organize and manage projects with multiple stakeholders.
  • Demonstrate a strong willingness to learn and ability to serve as a generalist when needed and an expert when required.
